IBBI notifies amendments to pre-packaged insolvency resolution process regulations, 2021: enhanced disclosure requirements and greater procedural flexibility
Key Highlights of the Amendment Regulations:
- Comprehensive Disclosure Framework for PPIRP Applications: A revised Regulation 18 introduces a detailed framework specifying the information and documents that must accompany an application for commencement of a PPIRP under section 54C of the Code. Corporate applicants are now required to furnish declarations of directors or partners, approvals of unrelated financial creditors representing at least fifty-one percent of financial debt, details and consent of the proposed resolution professional, audited financial statements for the previous two financial years, provisional financial statements for the current financial year, and documents relating to authorized representatives wherever applicable. These requirements seek to ensure that all material information is available at the admission stage itself.
- Greater Procedural Flexibility Through Board-Prescribed Formats: A significant feature of the amendments is the replacement of numerous prescribed statutory forms with formats to be notified separately by the IBBI through circulars. The changes affect various forms used throughout the PPIRP process, including commencement applications, reports, claims, compliance filings and other procedural submissions. This approach enables the IBBI to update filing requirements more efficiently without amending the regulations each time procedural changes are required.
- Removal of the Schedule Containing Prescribed Forms: Consequent to the shift towards Board-notified formats, the Schedule appended to the PPIRP Regulations containing Forms P1 to P14 has been omitted. References across the regulations have correspondingly been aligned to formats notified by the Board. This amendment reflects a broader regulatory trend across the insolvency framework of moving procedural documentation requirements from the regulations to circular-based formats.
- Standardisation of Resolution Professional Documentation: The amendments prescribe that both the written consent of the proposed resolution professional and the report required under section 54B(1)(a) of the Code shall now be provided in formats notified by the IBBI. This is intended to promote consistency in filings and improve the quality and comparability of information submitted during the commencement of PPIRP proceedings.
- Harmonisation with Recent Reforms Across IBC Regulations: The amendments align the PPIRP framework with recent changes introduced across the CIRP, liquidation and voluntary liquidation regulations, particularly with respect to standardized disclosures and Board-notified formats. The changes are aimed at reducing procedural rigidity while maintaining regulatory oversight and consistency across the insolvency ecosystem.
