At a young age, Snigdhaneel is well-known as an ace lawyer for M&A and regulatory practice. With a total experience of 12 years, he has undertaken some of the largest and most complex M&As in India. Along with having transactional prowess, he also provides credible advisory on shareholder disputes and complex regulatory issues.

Select Experience

Advised InfoEdge India Limited, on its acquisition of controlling stake in Sunrise Mentors Private Limited (“Coding Ninjas”) by way of a mix of primary issuance of compulsorily convertible preference shares and secondary purchase of equity shares, with an obligation to purchase 100% of the shareholding of Coding Ninjas within 5 years at a valuation which could rise up to USD 500 million.

Advised various gaming companies for multiple rounds of fund raising by India’s leading online rummy and fantasy sports providers Games 24×7 and Head Digital Works and Pvt. Ltd. (formerly Head Infotech). These fund raises were the first instance of FDI in India’s highly regulated gaming sector and was a pioneer in being used as a template for future structures in this regard.

Advised Tata Advance Systems Limited on its Joint Venture with Boeing Defence for manufacturing and supply of aero structures for military aircrafts. This deal won the IFLR Asia Award for ‘M&A Deal of the Year, 2016’.

Advised Ranbaxy Laboratories on its merger with Sun Pharmaceutical Industries Ltd worth USD 3.2 billion (largest cross border M&A in pharmaceutical sector). This deal won the India Business Law Journal – ‘Dealmaker of the year 2014’, SIAN-MENA COUNSEL Deals of the Year and The Asian Lawyer 2015 M&A Deal of the Year: South & Southeast Asia.

Advised the Carlyle Group on setting up of a generic integrated pharmaceutical platform in India and structuring and negotiations of various acquisitions in pharmaceutical space along with acting for Carlyle Group in 100% acquisition of Symed Labs Limited. The deal value of the integrated pharmaceutical platform is approx. USD 429 million.

Advised Zomato Limited on its 100% acquisition of Grofers by way of secondary purchase by Zomato from existing shareholders for approx. USD 575 million.
